Terms of Service

The short version: WellKept is a planner for looking after your home. It suggests what to do and when, based on what you tell it and what public records say. It is not a contractor, an inspector or a safety authority, and the decisions about your house stay yours. Be honest about what you own, keep your account to yourself, and we will keep the service running, free for homeowners, without selling what you put in it. If we ever have a dispute, we talk first, and then it goes to arbitration rather than a class action.

WellKept is operated by Great Basin Software LLC ("we", "us"), a Utah limited liability company; WellKept is a trading name of that company. These terms cover the WellKept app and wellkeptonline.com. By opening an account or using the service you agree to them. How we handle your information is covered separately in the Privacy Policy.

What WellKept is

WellKept builds a maintenance schedule for your home from your address, the equipment you add, and the manufacturer guidance and public records we can find for them. It reminds you when a job is due, explains how to do it, checks your appliances against the U.S. Consumer Product Safety Commission recall database, and keeps the manuals and paperwork you give it in one place.

Everything it produces is a suggestion built from general guidance, not an inspection of your house. It has never seen your furnace. Intervals come from manufacturers and industry practice and may not fit how your home is used; weather warnings come from a forecast and forecasts are sometimes wrong; recall checks depend on the recall database and on the model number you entered being right; a manual we find may be for a neighbouring model or an older revision. Treat all of it as a well-informed starting point, and treat the manufacturer's own instructions as the authority when the two disagree.

What we ask of you

Your household

You can invite other people to share a home. Everyone you invite sees the same plan, the same history and the same documents for that home, and can change them. Invite the people who live there or look after it, and remove anyone who should no longer have access. What one member does to a shared home counts for the household, and we are not responsible for what one member of a household does with what another member added.

Your documents and photos

Receipts, manuals, warranties and photos you upload stay yours. You give us permission to store them and show them to you and your household, which is the only thing we do with them. Photos of appliance nameplates are read once to pull out the model and serial number and are not kept. You can delete any document, or your whole account, at any time.

What belongs to whom

The WellKept service, its name, its design, its schedules and its instructions belong to Great Basin Software LLC. You get a personal, non-transferable licence to use them for your own homes while you have an account. That licence does not include copying the service, reselling it, building a competing product from it, or removing our notices from it. Your own information and documents are yours, as described above. If you send us feedback or ideas, we may use them without owing you anything.

If your use of WellKept causes a problem for someone else

If a third party makes a claim against Great Basin Software LLC because of something you did with the service in breach of these terms, or because of a document you uploaded that you had no right to, you agree to cover our reasonable costs of dealing with that claim, including legal fees.

What it costs

WellKept is free for homeowners. If we introduce paid features, we will say what they cost before you are asked to pay for anything, and nothing you already have will be moved behind a price without notice. If you got the app from Google Play or the App Store, that store's terms also apply to the download; the store is not responsible for the service.

Other people's websites

Manuals, recall notices, how-to videos and parts links point to manufacturers, government agencies, retailers and video sites we do not control. We choose them carefully, but their content, availability and terms are theirs.

Changes to the service

WellKept is new and changes often. We may add, change or retire features, and we may suspend or close accounts that break these terms. If we ever shut the service down, we will give notice and a way to take your data with you first.

The part our lawyer would want in capitals

WellKept is provided as is and as available, without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not promise it will be uninterrupted, error-free, secure, or right about your particular house.

To the fullest extent the law allows, Great Basin Software LLC and its members, employees and contractors are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of property, data, income or use, arising from the service or from following or not following a suggestion in it, however caused and under any theory of liability, even if we were told such damage was possible. That includes damage to your home, its equipment and its contents. Our total liability to you for all claims together is limited to the amount you have paid us in the twelve months before the claim, or fifty U.S. dollars, whichever is greater. Some places do not allow some of these limits, so they may not all apply to you; where that is so, our liability is limited to the smallest amount the law permits.

You are responsible for your home. Nothing in WellKept is a substitute for a licensed professional's inspection, your local building and safety codes, or the manufacturer's own instructions, and you accept that risk when you act on a suggestion.

If we have a dispute

These terms are governed by the laws of the State of Utah, without regard to its conflict of law rules. If you have a problem with WellKept, email us first; most things can be sorted out that way, and you agree to give us sixty days to try before starting anything formal.

If that does not work, any dispute between you and Great Basin Software LLC will be resolved by binding individual arbitration under the rules of the American Arbitration Association, held in Utah or by video, rather than in court. Either of us may instead bring an individual claim in small claims court if it qualifies. Claims can only be brought on your own behalf, not as a plaintiff or class member in any class, consolidated or representative action, and the arbitrator cannot combine your claim with anyone else's. If this paragraph is found unenforceable for a particular claim, that claim goes to the state or federal courts located in Utah, and you consent to their jurisdiction. You can opt out of arbitration by emailing us within thirty days of opening your account; that does not change anything else in these terms.

Getting the app from a store

If you installed WellKept from Google Play or the Apple App Store, these terms are between you and Great Basin Software LLC, not the store. The store is not responsible for the app, for maintaining or supporting it, for any warranty, for any claim that it infringes someone's rights, or for any claim under consumer-protection or product-liability law; those are ours to deal with. You confirm you are not in a country under a U.S. government embargo or on a U.S. list of prohibited parties, and you must follow the store's own terms as well. Apple and its subsidiaries are third-party beneficiaries of these terms for the iOS app and may enforce them against you.

The rest of the fine print

These terms and the Privacy Policy are the whole agreement between us about WellKept. If any part of them is found unenforceable, the rest still applies. If we do not enforce something right away, we have not given it up. You may not transfer your account or these terms to anyone else; we may assign them to a successor that takes over the service. We are not responsible for delays or failures caused by things outside our reasonable control. Sections about your documents, liability, indemnity and disputes survive if your account closes.

Changes to these terms

If we change these terms in a way that matters, we will say so in the app before the change takes effect and update the date at the top. Continuing to use WellKept after that means you accept the new terms.
